Terms of Service

1. Acceptance of Terms
By accessing or using the OZFirmIQ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an accounting firm, company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Service.
These Terms are governed by the laws of New South Wales, Australia and the Commonwealth of Australia. They are intended to comply with the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) and the Privacy Act 1988 (Cth).
2. Definitions
- "Firm" means the accounting, bookkeeping or tax practice that holds an OZFirmIQ account.
- "Client Data" means any information, documents or data uploaded, entered or processed through the Service by a Firm or its clients.
- "Platform" means the OZFirmIQ web application and related services accessible via firm-iq.vercel.app and associated domains.
- "Subscription" means the paid plan under which the Firm accesses the Service (Starter, Professional or Enterprise).
- "Australian Privacy Principles" means the 13 binding principles set out in Schedule 1 of the Privacy Act 1988 (Cth).
3. Account Registration & Eligibility
Eligibility
You must be an Australian accounting or bookkeeping firm, or an individual registered tax agent, BAS agent or accountant operating in Australia. By registering, you confirm that:
- You have a valid ABN (Australian Business Number) or TFN in the case of sole traders.
- You are registered with the Tax Practitioners Board (TPB) if you provide tax or BAS agent services, or you operate under the supervision of a registered professional.
- You are not located in a jurisdiction that prohibits the use of the Service.
- All information provided during registration is accurate, complete and up to date.
Account Security
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorised use of your account. OZFirmIQ is not liable for any loss arising from unauthorised access to your account due to compromised credentials.
4. Subscription & Billing
Plans & Pricing
OZFirmIQ offers three subscription plans: Starter (AUD $79/month), Professional (AUD $199/month) and Enterprise (AUD $499/month). All prices are in Australian dollars and include GST where applicable.
Billing Terms
- Subscriptions are billed monthly in advance on the anniversary of your sign-up date.
- Annual subscriptions are billed yearly in advance and offer a 13% discount compared to monthly billing.
- Payment is processed securely via Stripe. We accept Visa, Mastercard and American Express.
- Late payments may result in suspension of access to the Service. A 14-day grace period applies before suspension.
Free Trial
New accounts receive a 30-day free trial. No credit card is required to start. Your trial converts to a paid subscription at the end of 30 days unless you cancel. We will send a reminder 7 days before conversion.
Price Changes
We may change subscription fees with 30 days' written notice. Price changes take effect at the start of your next billing period.
5. Service Description
OZFirmIQ is an intelligence and automation platform designed specifically for Australian accounting and bookkeeping firms. The Service includes:
- Client portfolio management with risk scoring and compliance tracking.
- BAS and tax return deadline calendar with urgency color-coding.
- AI-powered insights, benchmarking and staff productivity analytics.
- Document pipeline with auto-chase (email/SMS) cadence management.
- Client onboarding with ABN validation via the Australian Business Register (ABR) API.
- Document extraction and push-to-Xero/MYOB functionality.
- Trust account management and reconciliation (Enterprise plan).
- CPD learning centre (Enterprise plan).
Disclaimer: OZFirmIQ is a practice management and intelligence tool. It is not a substitute for professional accounting, tax or legal advice. Firms retain full responsibility for all client work, lodgements and compliance obligations.
6. Your Obligations
As a user of the Service, you agree to:
- Use the Service in compliance with all applicable Australian laws, including the Privacy Act 1988, Spam Act 2003, Anti-Money Laundering and Counter-Terrorism Financing Act 2006, and ATO record-keeping requirements.
- Not use the Service for any unlawful purpose or in violation of these Terms.
- Not attempt to circumvent any security measures, access controls or rate limits.
- Not upload, store or transmit any malicious code, viruses or harmful data.
- Not use the Service to send unsolicited commercial communications unless compliant with the Spam Act 2003.
- Ensure that you have the necessary consents and authorisations to collect, use and disclose any Client Data uploaded to the Service.
- Maintain accurate firm and contact information in your account profile.
7. Data Ownership & Usage
Your Data
You retain full ownership of all Client Data you upload, enter or process through the Service. OZFirmIQ does not claim any ownership rights over your Client Data.
Our Right to Use Data
We may use aggregated, de-identified data derived from your use of the Service to:
- Generate industry benchmarks and anonymised analytics.
- Improve the platform, develop new features, and train machine learning models that enhance Service functionality.
- Publish aggregated industry insights (e.g. "Average BAS on-time rate across Australian firms").
Aggregated data will never identify your firm or individual clients.
Data Retention & Deletion
Upon termination of your account, you may request export of your Client Data within 30 days. After 60 days from termination, we will securely delete all Client Data, subject to our legal obligations under the AML/CTF Act and ATO requirements to retain records for up to 7 years.
8. Confidentiality
OZFirmIQ will keep confidential all Client Data and Firm information accessed through the Service. We will not use, disclose or reproduce any confidential information except as necessary to provide the Service, as required by law, or with your express consent. Our employees and contractors are bound by confidentiality agreements consistent with these obligations.
9. Limitation of Liability
Consumer Guarantees: Our Service comes with guarantees that cannot be excluded under the Australian Consumer Law (ACL). Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the ACL.
Limitation: To the maximum extent permitted by law:
- OZFirmIQ's total liability to you for any claim arising out of or in connection with these Terms or the Service is limited to the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
- We are not liable for any indirect, consequential, incidental, special or punitive damages, including loss of profits, loss of data, loss of business opportunity or professional indemnity claims.
- We are not liable for any acts, omissions or failures of third-party services integrated with the platform (including Xero, MYOB, Stripe, AWS).
- We are not liable for any loss arising from your failure to maintain appropriate professional indemnity insurance.
10. Termination
- By You: You may cancel your subscription at any time through your account settings. The Service continues until the end of your current billing period.
- By Us: We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or violate applicable laws. We will provide written notice where reasonably practicable.
- Effect of Termination: Upon termination, your access to the Service ceases. You may request data export within 30 days as described in Section 7.
11. Governing Law
These Terms are governed by the laws of New South Wales, Australia and the Commonwealth of Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.
Australian Consumer Law Notice
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
